ACCEPTANCE OF TERMS
These Terms of Service (“Terms”) govern your access to and use of the SATELLAI Go, PetVora and other mobile applications, software, smart pet collars, accessories, connected features, and related products and services (collectively, the “Services”) provided by Satellai USA, LLC. and its affiliates (“SATELLAI,” “we,” “us,” or “our”).
By downloading, accessing, registering for, or using any of the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.
If you are under the legal age of majority in your place of residence, you may use the Services only with the involvement and consent of a parent or legal guardian, who agrees to be bound by these Terms on your behalf.
We may modify these Terms from time to time. If we make material changes, we may provide notice by posting the updated Terms on the Services or by other reasonable means. Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the revised Terms.
ACCOUNT REGISTRATION AND MANAGEMENT
Certain features of the Services require you to create an account. You agree to provide accurate, current, and complete information and to keep your account information updated.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, to the maximum extent permitted by law. You must promptly notify us at support@satellai.com if you suspect unauthorized use of your account or any other security breach. We shall not be liable for any loss or damage arising from your failure to safeguard account credentials or prevent unauthorized access.
LICENSE AND ACCEPTABLE USE
LIMITED CONSUMER LICENSE
Subject to your compliance with these Terms, SATELLAI grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial household use in connection with authorized SATELLAI products.
PROHIBITED CONDUCT
You agree not to:
l use the Services for any unlawful, fraudulent, deceptive, or harmful purpose;
l impersonate any person or entity or misrepresent your identity;
l interfere with, disrupt, damage, disable, or overburden the Services or related systems;
l probe, scan, or test the vulnerability of the Services or any network connected to the Services, nor breach any security or authentication measures used by the Services;
l gain or attempt to gain unauthorized access to any account, system, or network;
l reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, except where applicable law does not permit such restriction;
l copy, modify, distribute, sell, lease, sublicense, or commercially exploit the Services except as expressly permitted;
l upload malware or other harmful code;
l upload, publish, or transmit any pornographic, obscene, vulgar, or otherwise inappropriate content, nor depict nudity or engage in similar conduct;
l use automated means such as bots, scrapers, or crawlers to access the Services;
l use the Services in violation of animal welfare laws, privacy rights, intellectual property rights, or any other applicable law or third-party right.
We may investigate suspected violations of these Terms and may suspend, restrict, or terminate access to the Services, remove content, or take other action to protect the Services, users, or third parties.
IMPORTANT NOTICES
NOT A VETERINARY OR EMERGENCY SERVICE
The Services are provided for general consumer and informational purposes only. They do not provide veterinary, medical, diagnostic, treatment, rescue, or emergency services.
The Services do not replace responsible pet ownership, supervision, training, restraint, or professional veterinary care.
NOT A MEDICAL DEVICE
SATELLAI's products and services are consumer wellness tools for animals. They are not FDA-approved or cleared medical devices and are not intended to diagnose, treat, cure, or prevent any disease. If you have any concerns or questions about your pet's health, you should always consult a veterinarian or other pet healthcare professional. The use of information provided through the Service is solely at your own risk.
NO GUARANTEE OF PREVENTION
SATELLAI does not guarantee that the Services will prevent your pet from escaping, becoming lost, being injured, becoming ill, or dying. Features such as location tracking, alerts, and geo-fencing may be delayed, unavailable, inaccurate, or incomplete.
CONNECTIVITY AND ACCURACY LIMITATIONS
The operation, availability, and accuracy of the Services may be affected by factors beyond our reasonable control, including network, satellite, GPS, environmental, technical, or user-related issues. As a result, the Services may not be uninterrupted, error-free, or fully accurate at all times.
AI-GENERATED INSIGHTS
Certain features use machine learning models trained on sensor data and other inputs or AI tools. Predictions are probabilistic and may be incorrect or fail to detect conditions. Insights should not be the sole basis for care decisions. SATELLAI may update models over time, which may change outputs.
USER RESPONSIBILITY
You are solely responsible for:
l determining whether the Services are appropriate for your pet;
l properly fitting, charging, using, and maintaining the product;
l monitoring and supervising your pet at all times;
l all third-party fees incurred while using the Service, including but not limited to data, roaming charges.
l complying with all applicable laws relating to pets, animal welfare and etc.
PRIVACY
SATELLAI's Privacy Policy applies to the handling of personal information collected through or in connection with the Services. By using the Services, you agree that SATELLAI can use such information in accordance with the Privacy Policy.
FEEDBACK AND SUBMISSION
If you submit comments, ideas, or feedback to SATELLAI , you agree that SATELLAI can use, disclose, reproduce, distribute, and exploit them without any restriction or compensation to you. SATELLAI does not waive any rights to use similar or related ideas or feedback previously known to SATELLAI, developed by SATELLAI, or obtained from sources other than you.
TRADEMARK
All trademarks and logos displayed, mentioned or otherwise used in connection with the Services are property of SATELLAI or its licensors, as applicable. You are not permitted to use any of these trademarks or logos in any way without explicit prior written permission from SATELLAI or such licensors as applicable.
COPYRIGHT
All content made available through the Services is copyrighted by SATELLAI or the applicable licensors, unless otherwise stated. Without the prior written consent of SATELLAI or the relevant rights holders, no content provided through the Services may be reproduced, modified, promoted, distributed, photocopied, displayed, disassembled, reverse engineered, decompiled, linked or transmitted via hyperlinks, stored on other servers in a “mirroring” manner, placed in an information retrieval system, or otherwise used for any purpose by any person through any means.
LINKS TO THIRD PARTIES
Although the Services may contain links to third-party websites for your convenience, SATELLAI is not responsible for the content of any such websites. You may need to review and agree to the applicable terms of service when accessing those websites. In addition, a link to a third-party website does not imply that SATELLAI endorses that website or any products or services referenced therein.
DISCLAIMERS
The Services and all content provided through the Services are offered on an “as is” basis, without any warranties of any kind. Without limiting the foregoing, SATELLAI expressly disclaims all express or implied warranties arising out of or related to the Services, including any warranties of merchantability, fitness for a particular purpose, quiet enjoyment, or non-infringement. SATELLAI makes no warranty that the Services or their content will be available on an uninterrupted, secure, or error-free basis. SATELLAI also makes no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness, or reliability of the Services or any content provided through them.
LIMITATION OF LIABILITY
Neither SATELLAI, its suppliers, or licensors, nor any other party involved in creating, producing, or delivering these Services will be liable for any incidental, special, exemplary, or consequential damages, including lost profits, loss of data or goodwill, service interruption, computer damage, or system failure or the cost of substitute services arising out of or in connection with this Terms of Service or from the use of or inability to use these Services, whether based on warranty, contract, tort (including negligence), product liability, or any other legal theory, and whether or not SATELLAI has been informed of the possibility of such damage, even if a limited remedy set forth herein is found to have failed of its essential purpose.
To the fullest extent permitted by applicable law, in no event will SATELLAI’s total liability arising out of or relating to these Terms or the use of, or inability to use, the Services exceed $100 in the aggregate.
INDEMNITY
You will indemnify and hold harmless SATELLAI or its officers, directors, employees, affiliates, agents, licensors, and contractors from and against any claims, suits, actions, demands, disputes, allegations, or investigations brought by any third party, governmental authority, and all liabilities, damages, losses, costs, and expenses, including without limitation reasonable attorneys’ fees, arising out of or in any way connected with (i) your access to or use of the Services, (ii) your content, (iii) your breach or alleged breach of any warranties made by you hereunder or your violation of any other provision of this Terms, or (iv) your violation of any law or the rights of a third-party. We reserve the right to assume control of the defense of any third-party claim that is subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.
ENFORCEMENT RIGHTS
SATELLAI reserves the right, but is not obligated, to remove or disable access to the Services at any time and without notice, at our sole discretion, if we determine that your content or your use of the Services is objectionable or in violation of these Terms of Service. SATELLAI also has the right to investigate violations of these Terms and any conduct that affects the Services, and may take any action we deem appropriate in response.
APPLICABLE LAW AND DISPUTE RESOLUTION
You agree that these Terms of Service and your access to and use of the Services shall be governed by, and construed in accordance with, the laws of Hong Kong, without regard to its conflict of laws principles. Any dispute arising out of or in connection with these Terms of Service or the Services shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (“HKIAC”) under the HKIAC Administered Arbitration Rules in force when the arbitration is commenced. The seat of arbitration shall be Hong Kong, the language of the arbitration shall be English, and the arbitral award shall be final and binding on the parties.
SEVERABILITY
If any of these Terms is deemed invalid, void, or for any reason unenforceable, that condition will be deemed severable and will not affect the validity and enforceability of any remaining condition.
